Support Service Agreement
The terms that govern the technical support work FoxDev Studio performs through the Support Center.

1. About this Agreement
This Support Service Agreement (“Agreement”) governs the technical support work that FoxDev Studio, LLC (“FoxDev Studio”, “we”, “us”, or “our”) performs for a client (“you” or “Client”) through the FoxDev Studio Support Center at support.foxdevstudio.com.
It applies each time you submit, approve, purchase, or otherwise authorize support work, whether the request arrives through a ticket, by email, or by phone and is then recorded as a ticket.
Three documents work together:
- The Privacy Policy describes how we handle information.
- The Terms of Service set the rules for accessing and using the Support Center.
- This Agreement governs the technical services we actually perform.
Order of precedence. If you have a signed contract, statement of work, maintenance agreement, hosting agreement, or other written agreement with FoxDev Studio, and its terms conflict with this Agreement in respect of the subject matter it covers, that signed agreement controls. Where it is silent, this Agreement applies.
2. Definitions
- Support Request means a ticket or other request for technical work that you submit or authorize.
- Client Systems means the websites, servers, accounts, applications, domains, and third-party services that a Support Request concerns.
- Deliverable means the specific change, fix, configuration, or advice provided in response to a Support Request.
3. Authorization and Client Responsibilities
When you submit, approve, purchase, or otherwise authorize support work, you authorize FoxDev Studio to make the requested changes to the Client Systems within the agreed scope.
You are responsible for the business decision to request or approve a change. FoxDev Studio may reasonably rely on the instructions, information, credentials, screenshots, files, URLs, and approvals you provide, and is not required to independently verify them.
You confirm that:
- you have the authority to authorize work on the Client Systems, or you are acting with the permission of the party who does;
- you have the necessary rights and licenses for the content, plugins, themes, fonts, images, and other materials involved in the work;
- the access you give us is the access you intend to give us; and
- you will tell us about anything relevant that we could not reasonably discover ourselves, including recent changes made by you or another vendor, known conflicts, caching layers, staging environments, and compliance constraints.
You remain responsible for maintaining current licenses, subscriptions, renewals, and account access for the Client Systems.
4. Reasonable Professional Effort
FoxDev Studio will use reasonable professional efforts to perform the work you request, in a workmanlike manner consistent with generally accepted practice for this kind of work.
FoxDev Studio works on systems that contain many variables outside its control. WordPress, plugins, themes, custom code, CSS, hosting, DNS, email systems, ecommerce systems, Shopify, APIs, integrations, browser differences, caching, security software, third-party services, updates, changes made by you, and work performed by other vendors all interact with one another. A request as ordinary as changing a menu font or inserting a code snippet can interact with other parts of your environment in ways that are not visible in advance. FoxDev Studio cannot reasonably know or control every variable in every Client System.
This Agreement establishes a standard of reasonable professional effort. It does not guarantee a specific technical outcome. Except where a separate signed agreement expressly says otherwise, FoxDev Studio does not guarantee:
- that every technical issue can be solved;
- that every reported issue can be reproduced;
- permanent compatibility between any components;
- continued compatibility after WordPress, plugin, theme, hosting, browser, or third-party updates;
- uninterrupted or error-free availability of any website, server, or service;
- the reliability, availability, or behavior of any third party;
- any specific business result;
- any specific search engine ranking, traffic, or SEO outcome;
- any specific sales, conversion, or revenue outcome;
- complete protection against security incidents, malware, or unauthorized access.
5. Scope of a Support Request
A Support Request covers the work that was reasonably authorized in that request. It does not create an obligation to identify or fix every other problem present in the Client Systems.
If, while working on a request, we find additional or unrelated issues, we may point them out and provide a recommendation, an estimate, or a separate Support Request. Doing so is a courtesy and does not extend the scope of the original request, and does not make us responsible for issues we did not agree to address.
Work that materially changes after a request has been agreed — new requirements, additional pages or features, a different approach, or a larger investigation than the request described — is treated as new work and may require additional approval and payment.
6. Paid Support, Estimates, and Payment
Support may be:
- included under an existing agreement, plan, or retainer;
- billed hourly;
- sold as a support package or block of hours;
- quoted separately for a defined piece of work;
- prepaid; or
- charged through an invoice using an approved payment method.
Submitting a Support Request does not automatically mean the work is free of charge. Where a request is not covered by an existing agreement, we will tell you before proceeding with billable work, other than short diagnostic effort reasonably needed to understand and scope the request.
Estimates are estimates. They are based on the information available at the time and on the assumption that the Client Systems behave as described. If the work turns out to be materially larger or different, we will tell you and seek your approval before continuing.
Invoices are payable according to the terms stated on the invoice. We may pause work on unpaid accounts after notifying you. Third-party costs incurred on your behalf and with your approval, such as premium plugin or theme licenses, are your responsibility and may appear on your invoice.
Payment processing. The Support Center does not take payments and does not collect or store payment-card details. Invoicing and payment are handled separately through our normal billing process. Where a third-party payment processor is used for an invoice, that processor handles your payment details directly under its own terms and privacy policy; FoxDev Studio does not store full payment-card numbers. Do not send payment-card numbers or banking credentials through a ticket, the contact form, or email.
Refunds and chargebacks. Fees for work already performed are non-refundable, except where required by law or where we agree otherwise in writing. Prepaid hours that have not been used may be refunded or credited at our discretion. If you dispute a charge, contact us first so we can review it. Initiating a chargeback without first raising the issue with us may result in suspension of support until the dispute is resolved.
7. Correction of FoxDev Studio Errors
If FoxDev Studio determines that a problem was directly caused by its own recent support work, we will correct that specific problem without charging additional support labor. This corrective work is your primary remedy for an ordinary support mistake.
To make use of it, tell us promptly after the problem appears, and give us reasonable access to investigate and correct it.
Free corrective work does not apply automatically where the problem was caused by:
- changed requirements or additional requests;
- changes made by you or anyone acting for you;
- changes made by another developer, agency, or vendor;
- plugin, theme, or WordPress updates;
- hosting, server, DNS, or platform changes;
- API changes or deprecations by a third party;
- third-party outages or service failures;
- malware, compromised accounts, or unauthorized access;
- expired services, licenses, subscriptions, or certificates;
- defects that were already present and unrelated to our work; or
- circumstances that arose after the original work was completed.
Those situations may require a new, paid Support Request. We will tell you which category we believe applies and why.
8. Third-Party Systems and Vendors
FoxDev Studio does not control third-party systems. To the maximum extent permitted by applicable law, FoxDev Studio is not responsible for problems caused by, or the acts and omissions of, third parties, including:
- hosting providers and server operators;
- domain registrars and DNS providers;
- payment processors and gateways;
- WordPress core, plugins, and themes;
- APIs and integrations;
- ecommerce platforms, including WooCommerce and Shopify;
- email and deliverability providers;
- CDN, caching, and performance providers;
- SaaS products; and
- security providers.
We are glad to help diagnose problems that originate with a third party, and to communicate with that third party on your behalf where you authorize it. Doing so does not make FoxDev Studio financially responsible for that third party’s failure, downtime, pricing, policy changes, or discontinuation of a product.
9. Backups and Data
Where it is appropriate to the work, FoxDev Studio may take or verify a backup before making changes. Backups depend on hosting, storage, and third-party software, and a backup or restore can fail for reasons outside our control. Backup success is not guaranteed and should not be relied on as a guarantee unless a separate written agreement expressly provides one.
Unless FoxDev Studio has expressly contracted to provide backup and business continuity services for the Client Systems, you remain responsible for maintaining appropriate backup, retention, and business continuity practices for your own data.
10. Security
FoxDev Studio applies reasonable security practices in the course of its work. No website, server, account, application, or third-party system can be made completely secure, and FoxDev Studio does not guarantee that any of them will never be compromised.
You remain responsible for:
- protecting your own credentials and not reusing them across services;
- enabling multi-factor authentication where it is available;
- controlling which users have access to your systems, and removing access when it is no longer needed;
- maintaining valid licenses and subscriptions for security-relevant software; and
- telling us promptly if you suspect a compromise.
Where you share access credentials with us, we will use them only for the work you authorized and will treat them as confidential. Please change or revoke that access once the work is complete.
11. Response and Resolution Times
Our normal support hours are Monday to Friday, 9 AM to 4 PM Eastern Time, excluding holidays. We aim to acknowledge new requests within one business day and to prioritize requests according to their impact.
This describes our normal practice. It is not a guaranteed response time, resolution time, or service level. Guaranteed response or resolution times apply only where a separate written agreement or service level agreement with FoxDev Studio expressly provides them.
12. Confidentiality and Credentials
Each party will treat the other’s non-public business and technical information as confidential, will use it only for the purposes of the support relationship, and will protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, that the receiving party already had, that it independently develops, or that it must disclose by law.
We ask you not to send passwords, API keys, payment-card numbers, or bank details through ticket fields, attachments, the contact form, or email. Where access is genuinely required, ask us how to share it safely. See the Privacy Policy for how we store and retain the information you send us.
13. Intellectual Property
FoxDev Studio retains all right, title, and interest in its pre-existing and reusable materials, including:
- reusable code, components, and boilerplate;
- internal tools, utilities, scripts, and libraries;
- generalized snippets and configuration patterns;
- processes, methodologies, checklists, and know-how; and
- any intellectual property FoxDev Studio owned or developed before, or independently of, the work performed for you.
Where a Deliverable incorporates any of those materials, FoxDev Studio grants you a non-exclusive, perpetual, royalty-free license to use them as part of that Deliverable on the Client Systems, subject to payment of the amounts due for the work.
Ownership of client-specific work product continues to follow the applicable project agreement, statement of work, or other written agreement between us. Where no such agreement addresses it, client-specific work product created for you under a paid Support Request becomes yours on payment in full.
Third-party components, including WordPress, plugins, themes, fonts, and stock media, remain subject to their own licenses.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) Excluded damages. FoxDev Studio will not be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, lost business, lost traffic, lost search rankings, lost ecommerce sales, lost or corrupted data, lost email, downtime, interruption of operations, cost of substitute services, or losses arising from third-party acts, omissions, or failures — whether or not FoxDev Studio was advised of the possibility of such damages, and regardless of the theory of liability.
(b) Cap on direct damages. FoxDev Studio’s aggregate liability arising out of or relating to a particular Support Request will not exceed the amount actually paid to FoxDev Studio for that specific Support Request.
(c) Work performed at no charge. For support work performed free of charge, including goodwill work, courtesy advice, and work provided at no cost under Section 7, FoxDev Studio’s liability is excluded to the maximum extent legally permitted.
(d) Mandatory rights. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions or limitations, in which case the exclusions and limitations in this Section apply to the fullest extent those jurisdictions permit.
(e) Basis of the bargain. The allocation of risk in this Section is a fundamental part of the pricing and the basis of this Agreement.
15. Client Responsibility for Authorized Work
You are responsible for claims arising from your own acts and omissions, including a lack of authority to request work on a system, content or materials you supplied that infringe a third party’s rights, and instructions that we followed in good faith. You will defend and indemnify FoxDev Studio against third-party claims to that extent, excluding claims caused by FoxDev Studio’s own negligence or willful misconduct.
16. Suspension and Termination
Either party may end the support relationship at any time on written notice, without affecting amounts already owed for work performed. We may suspend work on an account that is overdue, that is being used in breach of the Terms of Service, or where continuing would expose either party to legal or security risk.
On termination, we will, at your request and within a reasonable period, provide the work product you have paid for and return or delete credentials you gave us. Retention of tickets and business records continues as described in the Privacy Policy.
17. Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to its conflict of law rules. The state and federal courts located in Brevard County, Florida have jurisdiction over disputes arising out of or relating to this Agreement, and each party consents to that jurisdiction and venue.
18. General
- Electronic acceptance. Submitting, approving, purchasing, or otherwise authorizing support work constitutes your acceptance of this Agreement, and has the same effect as a signature.
- Amendments. We may update this Agreement from time to time. The “Last Updated” date below reflects the current version. Changes apply to Support Requests submitted or authorized after the update. Changes to a signed agreement between us must be made in writing and agreed by both parties.
- Relationship with other agreements. Where a signed contract, statement of work, maintenance agreement, hosting agreement, or other written agreement with FoxDev Studio addresses the same subject matter, that agreement controls, as set out in Section 1.
- Severability. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the remainder of this Agreement stays in effect.
- Survival. Sections 6, 8, 9, 12, 13, 14, 15, 17, and 18 survive termination of the support relationship.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Independent contractor. FoxDev Studio performs work as an independent contractor. Nothing here creates a partnership, joint venture, employment, or agency relationship.
- Assignment. Neither party may assign this Agreement without the other’s consent, except in connection with a merger, acquisition, or sale of substantially all assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including third-party outages, network failures, natural events, and government action.
- Notices. Notices to FoxDev Studio may be sent to the address below or to info@foxdevstudio.com. Notices to you may be sent to the email address on your Support Center account.
- Entire agreement. Together with the Terms of Service and the Privacy Policy, this Agreement is the entire agreement between the parties in respect of support work performed through the Support Center, except where a signed agreement provides otherwise.
